Megatel is suing Centurion American and United Development for millions in compensation. The two companies defaulted on $15 million contracts during the past six months. These companies subsequently sold their land and properties to other homebuilders. The SEC eventually found that these companies lied to investors. The SEC fined United Development $8 million for misleading investors. Centurion American, the largest developer of homes in the Dallas-Fort Worth area, did not face any charges in the investigation.

Despite Megatel’s arguments, the court finds that the UDF Defendants failed to plead sufficient facts to support the inference that Megatel engaged in fraudulent conduct. In addition, the UDF Defendants had spent numerous hours filing Rule 12(b)(6) motions. Because they have spent so much time on these motions, the court directs them to stop.

The allegations made by Megatel in its First Amended Complaint are lengthy. First, Megatel alleges that the UDF Defendants fraudulently induced Megatel to enter into contracts and developments without proper compensation.
